The office BLZ Żmij and Partners Legal Advisers provides a wide scope of legal services. However, some areas of law are of special interest to our partners and therefore our experience in those areas is especially significant, which makes it easier to undertake further challenges.

We are particularly interested in the following areas of law:

There are also some fields of law, in which the office BLZ Żmij and Partners Legal Advisers is not currently planning to develop its activity. If we do accept cases related to those areas, it is only incidentally, usually as part of some more comprehensive service. This "negative portfolio" includes social insurance and family law cases.

 

Civil law has accompanied man since Roman times, regulating basic aspects of the human life from its beginning to the end. In the prenatal period, a person can already be the subject of civil law rights and obligations, whenever their benefit is at stake. Then, civil law accompanies people throughout their life, governing their capacity (changing with time) to acquire rights and undertake obligations, concerning trade, services, liability for damage, family status, succession, etc. Thanks to the construct of a legal person, civil law has made it possible to limit the personal risk and the liability in carrying out business activity.

The recent processes of globalisation and economic integration in Europe and all over the world, are the reason for a rapidly growing number of legal cases involving some foreign element (international contracts, joint-ventures, marriages, inheritance cases). It is the provisions of international private law that determine which law shall apply to such cases.

Therefore, excellent knowledge of international commercial law, and especially knowledge of the United Nations Convention on the Contracts for the International Sales of Goods (CISG) has become particularly important. International arbitration tribunals and even national courts, more and more often refer in their decisions to such documents as UNIDROIT Principles of International Commercial Contracts or the Principles of the European Contract Law.

Our office offers a vast array of services including legal advise, in its broadest sense, in the area of civil law, international private law and international commercial law, from drawing up of various documents, contracts, pleadings, through court representation, to arrangement of domestic and international commercial arbitration proceedings.

An essential part of the activity of any office of legal advisers, including ours, is representing the clients in various proceedings - trial and non-trial, civil, administrative, proceedings before tax authorities, etc.

In the recent years, more and more importance has been attached to resolution of disputes by way of negotiations, mediation, but primarily by arbitration. The latter has become particularly useful in resolving international disputes.

Our office offers advise and representation in all the above types of legal proceedings. In addition, with our wide experience, we are also able to arrange negotiations of different kinds, mediation, domestic, as well as international arbitration.

Our everyday professional practice includes issues related to the provisions regulating formation and operation of commercial companies. The proper application of those provisions is what most of our clients expect from us. We offer legal services to private companies, operating solely on the basis of the Code of Commercial Companies, as well as to the companies which are subject to special regulations (state enterprises which have undergone transformation, companies partly owned by local government units, organizations which deal in recycling of electric and electronic goods, branches of foreign enterprises, etc.).

We provide legal assistance in company formation, mergers and acquisitions, division, transformation of companies, as well as in coordination of operations or transformation of associated companies and groups of parent and subsidiary companies, including companies with their head offices in different EU member states. We explain the implications of existing regulations in companies' deeds and articles of association, we propose structural solutions which meet the requirements of strategic investors, including private equity, taking into consideration current tendencies prevailing in the interpretation of register courts. We ensure good cooperation with notaries offices.

Entrepreneurs and institutions, for whom a number of people work every day, need efficient labour organization and reasonable (also financially) employment policies. People who earn their living in employment, need their relations with their employers to be shaped in such a way as to ensure security and predictability or a share in the profits from their activity. We help both employers, and employees, as well as their organizations.

Apart from individual and collective solutions based on the Labour Code, we also help to draw up civil law contracts for management staff, providing the best solutions from the organizational and financial point of view, taking into consideration tax regulations interpretations given by tax offices and the judicial decisions of administrative courts. We provide support in preparing employment contracts or other agreements regulating employment and in developing template labour law documents, taking into account the quality management system adopted by the employer. We draft work regulations and remuneration rules together with accompanying documents for their proper implementation, as well as any changes of such rules and regulations. In case of a dispute between employer and employee, we can also represent the parties in the proceedings involving labour law (both employers and employees). We can also help in negotiations.

A large set of regulations concerning real property operations and investment may seem an impenetrable maze for someone who does not have professional legal support. For developers and construction companies, overcoming such barriers is nothing unusual, but that simply means that they must regularly use professional advice of lawyers.

We provide legal assistance in negotiating, drawing up and interpreting contracts for design works, project management, construction works, and other related contracts. We help prepare investment projects, i.e. apply the provisions of the real property management law, spatial development planning regulations, the building law, the geological and mining law, the energy law, the water law, regulations on the protection of agricultural lands, the environmental law, the law on public roads, the law on the collective supply of water and of collective waste disposal, and others. We draft contracts for entrepreneurs and for consumers. We assist real estate agents and real property managers. We provide legal support for developers building houses as well as those constructing industrial halls or other commercial objects. We draft comprehensive sets of template contracts, taking into consideration the regulations concerning customers, general contractors, subcontractors and consulting construction experts.
